PLEASE CAREFULLY READ THESE TERMS OF USE. BY USING THIS PLATFORM, YOU INDICATE YOUR UNDERSTANDING AND ACCEPTANCE OF THESE TERMS.

IN THE EVENT OF NON-COMPLIANCE WITH THESE TERMS OF USE, OUTLOOK EVENT ACTIVATION (Operator of OTXAD) HAS THE RIGHT TO LIMIT OR TERMINATE YOUR ACCESS OR USAGE RIGHTS TO THE PLATFORM IMMEDIATELY OR REMOVE NON-COMPLIANT INFORMATION OR BOTH AS THE CASE MAY BE, IN ACCORDANCE WITH THE INFORMATION TECHNOLOGY (INTERMEDIARY GUIDELINES AND DIGITAL MEDIA ETHICS CODE) RULES, 2021, AND AMENDMENTS THEREOF.

I. ACCEPTANCE

  • Outlook Event Activation is a company incorporated in India under the Companies Act, 2013, having its registered office at 5 Shreenath Complex, Thakorvas, Navrangpura, Ahmedabad - 380009 (Gujarat), India.
  • Outlook Event Activation is the licensee and operator of the Platform, which provides a collection of online resources which includes classified advertisements, listings and related support on the listings through select entities on the website www.otxad.in and the corresponding mobile application of the platform (collectively, the "Platform" and "Service").
  • The Platform and the Service are provided to you subject to these OTXAD Terms of Use (these "Terms").
  • By using the Service, you agree to comply with these Terms and all applicable laws and regulations.
  • You understand and agree that you are solely responsible for reviewing these Terms from time to time.
  • OTXAD may update these Terms at any time at its sole discretion. If you object to any term or become unhappy with OTXAD, your only choice is to immediately discontinue use of the platform.

II. DESCRIPTION OF SERVICE AND CONTENT POLICY

  • OTXAD operates a specialized marketplace dedicated to event services and products. We act merely as an intermediary to allow our users who comply with these Terms to offer, sell, buy, rent, and advertise Listed Items.
  • You acknowledge and agree that OTXAD is not a party to transactions, has no control over any element of such transactions, and shall have no liability to any party in connection with such transactions.
  • OTXAD provides a marketplace for listings which enables users ("Listers") to publish, advertise and list Listed Items on the platform. OTXAD does not own or manage the listings and is not a party to any interactions and contracts between Listers and potential buyers.
  • You are responsible for and must evaluate all risks associated with your listing, including claims, infringement, damages, suits, loss(es), fine, penalties or any other actions.

III. GENERAL GUIDELINES FOR LISTINGS AND ADVERTISEMENTS

A. SUBMISSION GUIDELINES

  • Listers must not submit any information or photographs for Listed Items unless they have acquired all necessary rights and authorizations from the owner, photographer, or copyright holder.
  • The OTXAD platform is only for users who are above 18 years of age (major). Minors are not allowed to use the Service.
  • Listers agree to comply with all applicable laws and ensure that their listings comply with all applicable legal and regulatory requirements.
  • Listers must provide clear information including business name, geographic address, contact number, ratings/feedback, clear pictures of products/services, and other necessary details.
  • Listers must adhere to all policies, rules, and guidelines published on the OTXAD Platform.

B. GUIDELINES FOR BUYERS AND LISTERS

At OTXAD, we prioritize transparency and reliability. We advise all users to conduct thorough checks before proceeding with transactions:

  • Independent Verification: Conduct comprehensive checks to verify authenticity of Listed Items
  • Personal Inspection: Visit project sites, service locations, or meet service providers in person
  • Service Provider Verification: Verify credentials, experience, certifications, and customer reviews
  • Documentation: Exercise caution regarding required and valid documentation
  • Legal Compliance: Independently ensure compliance with all applicable laws

IV. CONDUCT

You undertake that descriptions, images, and other content is accurate and corresponds with the actual appearance, nature, quality, and purpose of the goods or services.

You must NOT post Content that:

  • Violates any law, rule, direction, guideline or regulation
  • Infringes on third-party proprietary rights or copyrights
  • Is harmful, abusive, unlawful, threatening, harassing, defamatory, or obscene
  • Harasses or discriminates based on religion, gender, sexual orientation, race, ethnicity, age, or disability
  • Includes personal information about another person without their explicit consent
  • Impersonates any person or entity or falsely represents affiliation
  • Is false, deceptive, misleading, or constitutes a "bait and switch" offer
  • Constitutes pyramid schemes, spam, chain letters, or unsolicited advertisements
  • Contains software viruses or code designed to disrupt functionality
  • Disrupts normal dialogue with excessive messages (flooding attack)
  • Manipulates prices to gain unreasonable profit
  • Discriminates or makes arbitrary classifications affecting consumer rights
  • Contacts users who have requested not to be contacted
  • Uses automated means to download or scrape data

V. PAID SERVICES

OTXAD offers optional paid services to enhance your listings. Terms governing Paid Services:

  • Payment must be made through our secure payment gateway
  • All prices are inclusive of applicable taxes unless otherwise mentioned
  • Refund Policy: Refunds for unused services may be provided within 7 days of purchase, subject to terms and conditions
  • No Guarantee: OTXAD does not guarantee any specific number of responses, views, or sales
  • Paid features may be modified, suspended, or discontinued without prior notice

VI. INTELLECTUAL PROPERTY RIGHTS

You acknowledge that materials on the Platform, including text, software, scripts, graphics, photos, sounds, music, videos, and trademarks are licensed to OTXAD and subject to copyright and intellectual property rights under Indian law.

Materials are provided on an 'AS IS' basis for personal use only and may not be copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited without prior written consent.

VII. INDEMNITY

You agree to defend, indemnify and hold harmless OTXAD and Outlook Event Activation from any and all claims, damages, losses, liabilities, costs or expenses arising from:

  • Your use of and access to the Platform and/or Service
  • Your violation of any term of these Terms
  • Your violation of any third party right
  • Any claim that your Content caused damage to a third party
  • Your non-adherence to applicable laws

VIII. LIMITATION AND TERMINATION OF SERVICE

OTXAD may modify, limit or discontinue the Service at any time without notice. OTXAD may delete or deactivate your account, block your email or IP address, or terminate your access immediately and without notice for any reason, if OTXAD believes you have violated these Terms.

IX. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY ACKNOWLEDGE THAT USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK AND THAT THE PLATFORM AND SERVICE ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND.

OTXAD DOES NOT WARRANT OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY, AND OTXAD WILL NOT BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN USERS OR THIRD-PARTY PROVIDERS.

OTXAD OPERATES AS AN INTERMEDIARY PLATFORM, AS DEFINED UNDER SECTION 2(W) OF THE INFORMATION TECHNOLOGY ACT, 2000.

X. LIMITATIONS OF LIABILITY

IN NO EVENT SHALL OTXAD OR OUTLOOK EVENT ACTIVATION BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, RESULTING FROM ANY ASPECT OF YOUR USE OF THE PLATFORM OR SERVICE.

XI. DISPUTE RESOLUTION

These Terms and the relationship between you and OTXAD shall be governed by the laws of India. Any claim shall be resolved by mutual discussions or negotiations. If unresolved within 15 days, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

Seat of Arbitration: Ahmedabad, Gujarat, India Venue: Ahmedabad, Gujarat, India Language: English Jurisdiction: Courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction.

XII. ABILITY TO ACCEPT TERMS OF SERVICE

You affirm that you are at least 18 years of age and fully able and competent to enter into these Terms and abide by them.

NOTICE TO MINORS: If you are a minor, please do not send us your personal information. If you want to contact us, you may only do so through your parent or legal guardian.

XIV. MODIFICATIONS TO TERMS

OTXAD may update these Terms at any time at its sole discretion. You should make note of the "last updated date" at the beginning of the Terms. The English version governs your relationship with OTXAD.
